Corporate Governance


Alberto Alonso is partner in charge of the corporate practice of the Madrid office.

Among his areas of expertise are corporate, corporate governance, M&A and competition, in particular in the area of listed companies, credit institutions, public-sector companies and foundations. He also has extensive experience in arbitrations in contractual and corporate matters.

He is a professor of Commercial Law and has been an ex-officio member of the Comisión General de Codificación (General Codification Committee) of the Spanish Ministry of Justice since 1997. He was also the permanent representative of the Spanish government to the European Communities in relation to the Companies Directives.

In addition to his extensive experience as a lawyer and professor of law, he also has many years of experience at major companies, having been a member of the boards of directors of top-ranking listed companies, such as Endesa S.A. and Zeltia S.A., where he was an independent director from 1998 to 2007 and 2006, respectively. 


  • Degree in law from the Universidad Complutense of Madrid (1975). Awarded Extraordinary Degree Prize for his studies in Private Law.


  • PhD studies at the Universities of Freiburg and Bonn and the Free University of Brussels (1977 to 1982).


  • PhD in law from the Universidad Complutense of Madrid (1984). Awarded Extraordinary PhD Prize for studies in Private Law and the Fundación Universidad-Empresa Prize for best PhD thesis on issues of socio-economic and business interest.    


  • He has supervised eighteen PhD theses which have resulted in important monographs on different areas of private and business law.

Professor of Commercial Law at the Universidad de Castilla-La Mancha (1988), at the Universidad Complutense of Madrid (1993) and currently at the Universidad Rey Juan Carlos of Madrid (since 1999).

He has successfully combined his work in the legal profession with his academic activities, enabling him to become a leading authority in the world of commercial law, as is evidenced by his ongoing participation in numerous specialist conferences. 


Alberto Alonso is the author of three monographs on matters relating to commercial law (company law, company group law and public-sector companies, competition, etc.). He is also the joint lead author of a “Comentario General sobre Sociedades Anónimas” (“General Commentary on Spanish Public Limited Companies”) and a “Comentario General sobre las Sociedades de Responsabilidad Limitada” (General Commentary on Spanish Limited Liability Companies), as well as other collective works on various subjects, including, among others, listed companies, structural changes, general shareholders’ meetings and boards of directors of listed companies and the modernisation of Spanish company law. He is also the author of over hundred articles on various different areas of company law (such as, for example, sole-shareholder companies, cross-holdings in groups of companies, share capital provisions, rules governing boards of directors, documentary credits, de facto directors and shadow directors, director liability, company insolvency, etc.).

He is a member of the governing boards of some of the most prestigious specialist journals and reviews on corporate law and securities market law, being the founder and co-editor of the Revista de Derecho de Sociedades (Company Law Journal) and the Revista de Derecho del Mercado de Valores (Securities Market Law Journal). He is also a member of the Editorial Boards of the Revista de Derecho de la Competencia y la Distribución (Competition and Distribution Law Journal), the Revista de Derecho Concursal y Paraconcursal (Insolvency and Preliminary Insolvency Law Journal) and the Revista Aranzadi Civil (Aranzadi Civil Law Journal), and is a member of the Management Committee of the journal Cuadernos de Derecho y Comercio.
